Mandu Hydropower Sets Dividend Record Date, Announces AGM for Dual Fiscal Year Approvals

Mandu Hydropower Limited (MANDU) has announced a crucial period for its investors, with today marking the final opportunity to secure eligibility for its proposed dividends. The company has called its 14th and 15th Annual General Meetings (AGMs) to be held concurrently on Bhadra 18, 2083 (September 3, 2026). This significant event will take place at Nepa Banquet, Naya Bazzar, Kathmandu, commencing at 11:00 AM, where shareholders will deliberate on a range of pivotal corporate decisions, most notably the endorsement of dividend payouts for two consecutive fiscal years.

For investors keen on participating in the company's profitability, it is imperative to note that the book closure date has been set for Bhadra 05, 2083 (August 21, 2026). This means only shareholders who hold MANDU shares in their demat accounts up to the trading day preceding this book closure date will be eligible to receive the proposed dividends and attend the upcoming AGMs. The announcement underscores the importance of timely action for investors looking to benefit from Mandu Hydropower's financial performance and engage with the company's governance.

The AGMs are poised to approve the dividends for both the fiscal years 2081/82 and 2082/83. For the fiscal year 2082/83, the company's 228th Board of Directors meeting, held on Shrawan 27, 2083 (August 12, 2026), proposed a substantial cash dividend. Based on Mandu Hydropower's current paid-up capital of Rs. 1.36 billion, the proposed cash dividend amounts to Rs. 163.6 million, which includes the applicable dividend tax. This translates to an attractive cash dividend rate of approximately 12.03% for the fiscal year 2082/83, reflecting the company's robust operational performance and commitment to shareholder returns.

Furthermore, the AGMs will also address an earlier dividend proposal for the fiscal year 2081/82, which was decided during the 225th Board meeting. For this period, Mandu Hydropower had proposed a 10% bonus share, equivalent to Rs. 136.3 million, which will result in the issuance of 1,363,637 new bonus shares. In addition to the bonus shares, a 0.5263% cash dividend, amounting to Rs. 7.177 million, was proposed specifically to cover the dividend tax on the bonus shares. This dual dividend structure for FY 2081/82 demonstrates a balanced approach to rewarding shareholders, offering both capital appreciation through bonus shares and immediate liquidity through cash.

The distribution of these proposed dividends is contingent upon the approval of the company's shareholders at the upcoming AGMs and subsequent clearance from the relevant regulatory authorities. This standard procedure ensures transparency and adherence to corporate governance norms. Investors are encouraged to attend the AGMs to exercise their voting rights and gain deeper insights into the company's strategic direction and financial health.
