The Nepali microfinance sector is witnessing another significant consolidation as Samudayik Laghubitta Bittiya Sanstha Limited and Sanjeevani Laghubitta Bittiya Sanstha Limited have officially commenced their merger process. This strategic move, formalized by the signing of a preliminary Memorandum of Understanding (MoU) on August 3rd (Shrawan 18), marks a pivotal step towards creating a stronger, more resilient entity within the nation's financial landscape.

Following the signing of the MoU, Samudayik Laghubitta promptly informed the Nepal Stock Exchange (NEPSE) about this development, adhering to regulatory transparency requirements. This notification is crucial for market participants, signaling upcoming changes in the operational structure of both institutions. The merger is being conducted under the stringent Bank and Financial Institutions Merger and Acquisition Guidelines (2079) issued by Nepal Rastra Bank (NRB), the country's central monetary authority. These guidelines are designed to streamline the consolidation process, ensure financial stability, and protect the interests of all stakeholders.

The decision to merge reflects a broader trend within Nepal's microfinance industry, driven by several factors. For microfinance institutions (MFIs), consolidation often leads to a larger outreach, diversified loan portfolios, and reduced operational costs through economies of scale. To maintain fairness and prevent speculative trading based on insider information, Samudayik Laghubitta has requested NEPSE to freeze the stock trading of its major shareholders. This suspension on share transactions will remain in effect until the merger is fully finalized and receives all necessary approvals, including those from the respective Annual General Meetings (AGMs) of both organizations. While this temporary halt might affect liquidity for major shareholders, it is a standard regulatory measure aimed at ensuring a level playing field and transparent valuation during the merger process.

The next critical steps in this merger journey will involve a comprehensive Due Diligence Audit (DDA) to assess the financial health, assets, and liabilities of both Samudayik and Sanjeevani Laghubitta. Based on the DDA findings, a swap ratio will be determined, which will dictate how shares of one company will be exchanged for shares of the other in the merged entity. Following the DDA and swap ratio determination, the proposal will require approvals from Nepal Rastra Bank, the Securities Board of Nepal (SEBON), and finally, the shareholders themselves at their respective AGMs.
