Swarojgar Laghubitta and Win Nepal Laghubitta Commence Integrated Operations from September 7th, Bolstering Microfinance Sector

The Nepalese microfinance sector is set to witness a significant consolidation as Swarojgar Laghubitta Bittiya Sanstha Limited (SLBSL) and Win Nepal Laghubitta Bittiya Sanstha Limited (WNLBSL) officially commence integrated operations from Bhadra 21, 2080 (September 7, 2023). This strategic move follows the successful acquisition of Win Nepal Laghubitta by Swarojgar Laghubitta, a development poised to significantly reshape their market presence and operational efficiencies within the burgeoning microfinance landscape.

The journey towards this pivotal merger began with the respective general meetings of both institutions. Swarojgar Laghubitta's special general meeting, held on Jestha 1, 2080, and Win Nepal Laghubitta's annual general meeting, convened on Jestha 5, 2080, both overwhelmingly approved the acquisition proposal. This crucial step paved the way for the necessary regulatory clearances. The companies have since successfully obtained all requisite approvals from key regulatory bodies, including Nepal Rastra Bank, the central bank overseeing financial institutions, and the Office of Company Registrar, ensuring full compliance with legal and financial frameworks governing such corporate restructuring.

As a standard procedure for such transitions, all transactions of both Swarojgar Laghubitta and Win Nepal Laghubitta will be temporarily suspended on the day integrated operations officially begin. This brief halt is essential to facilitate the seamless integration of their systems, data, and operational processes, ensuring a smooth and uninterrupted transition for both staff and clients. Following the merger, the combined entity will operate under the unified name of Swarojgar Laghubitta Bittiya Sanstha Limited, maintaining its central office in Banepa-5, Kavrepalanchok. This strategic location is expected to serve as the hub for the expanded operations, leveraging existing infrastructure and regional connectivity to enhance service delivery.

Both Swarojgar Laghubitta and Win Nepal Laghubitta are established players in Nepal's secondary stock market. Prior to this merger, Swarojgar Laghubitta had a total of 8,956,337 shares listed, while Win Nepal Laghubitta had 843,406 shares listed. The integration of these two entities is expected to create a stronger, more robust microfinance institution with an enhanced capital base, a broader network, and increased operational capacity. This consolidation aligns with the broader trend in the Nepalese financial sector, where regulatory bodies, particularly Nepal Rastra Bank, have been actively encouraging mergers and acquisitions to strengthen financial stability, improve corporate governance, and expand outreach to underserved populations across the nation.
